Overview
Aigbe Law PLLC is seeking a Securities Attorney to join the firm on a part-time to full-time, flexible basis, depending on deal flow. This role is ideal for a securities or transactional attorney who wants high-quality deal work, flexibility, and upside participation without a traditional law-firm structure.
This position may be structured as Associate or Of Counsel, depending on experience.

Practice Focus
The firm advises on:
- Securities offerings (Reg D, Reg S, Reg A, S-1)
- Public company transactions (reverse mergers, spin-offs, uplists)
- Private placements and structured financings
- M&A involving public or pre-public companies
- Corporate governance and disclosure matters
- Capital markets and transaction structuring
Clients include:
- Public and pre-public companies
- Founders and sponsors
- Investors and acquisition vehicles
- OTC, Nasdaq, and NYSE American issuers
Role & Responsibilities
The attorney will:
- Draft and review:
- Private placement memoranda
- Subscription agreements
- SAFEs / convertible instruments
- Stock & asset purchase agreements
- Disclosure schedules
- Registration statements (preferred but not required)
- Assist with:
- Securities compliance analysis
- Deal structuring and execution
- Public company readiness
- Exchange-related matters
- Work directly with the firm principal on live transactions
- Interface with clients, auditors, transfer agents, and counterparties
- Provide commercially practical legal advice (not academic memo-writing)
Compensation Structure
Base Engagement Compensation
- 10% of gross legal fees collected on all matters you work on
- Paid per engagement
- No cap
- No origination required
Origination Bonus
- Additional 10% of gross legal fees for any client or engagement you originate
- Applies whether you handle the work directly or another firm attorney does
- Paid on collected revenue
- No cap
Total possible compensation: 20% of collected fees on originated matters
This structure is designed for attorneys who:
- Want upside without firm politics
- Have or can develop deal flow
- Prefer flexibility over salary caps
Engagement Structure
- Part-time to full-time, depending on workflow
- Fully remote
- Of Counsel relationship welcomed
- No minimum hour requirement
- Work assigned on a deal-by-deal basis
- High autonomy, low bureaucracy
Required Qualifications
- JD from an accredited U.S. law school
- Active bar license (any U.S. jurisdiction)
- 2+ years of securities or transactional experience
- Working knowledge of:
- Securities Act of 1933
- Exchange Act of 1934
- Reg D / Reg S
- Public company disclosure basics
- Strong drafting and analytical skills
- Comfortable working independently
Strongly Preferred
- Experience with:
- Public companies or IPO-adjacent work
- Reverse mergers or uplisting transactions
- OTC Markets or Nasdaq issuers
- Background in a securities boutique or BigLaw
- Entrepreneurial mindset and comfort with deal-based work
Not a Fit If You:
- Require a fixed salary or guaranteed hours
- Want a traditional law firm ladder
- Are uncomfortable with variable workflow
- Do not have securities law experience
- Are a recruiter or placement agency
