About the Role

We are seeking a highly pragmatic and business-oriented General Counsel to serve as the primary legal advisor across a diversified operating business. This role will oversee a wide range of legal, regulatory, compliance, and operational matters.

Key Responsibilities

Commercial & Contractual Matters

• Draft, review, and negotiate a wide range of agreements, including:

• Vendor and supplier contracts
• Contract manufacturing and co-packing agreements
• Distribution and partnership agreements

• Manage and administer non-disclosure agreements (NDAs) across the organization
• Develop and standardize contract templates and internal processes

Corporate & Transactions

• Serve as the internal legal liaison for M&A and working with external counsel as needed
• Support due diligence, deal execution, and transaction structuring
• Oversee corporate governance

Regulatory & Compliance

• Ensure compliance with applicable regulations, including:

• FDA (food safety and labeling)
• OSHA (workplace safety)
• Environmental and recycling requirements
• State and federal permits and licensing

Intellectual Property

• Manage all intellectual property matters, including:

• Trademark searches, filings, and renewals
• IP portfolio tracking and protection

• Maintain organized records of all intellectual property assets

Employment & HR Legal Support

• Provide legal support on HR-related matters, including:

• Employment agreements and policies
• Employee relations and risk mitigation
• Labor law compliance

Qualifications

• Juris Doctor (JD) from an accredited law school
• Active bar membership in good standing
• 9-12+ years of relevant experience (law firm and/or in-house)
• Background in food & beverage industry REQUIRED
