Role Overview

We are looking for a Legal professional who will play a key role in strengthening Virohan’s Legal, compliance, and corporate

structuring foundation. This role entails end-to-end responsibility for general corporate matters, private equity and M&A

transactions, ensuring legal compliance, managing contracts, and providing strategic legal advice to stakeholders. It

requires strong expertise in corporate law, contract management, risk mitigation, and stakeholder management, while

serving as a trusted advisor as the company

scales.

What you’ll be responsible for?

Compliance and Risk Management:

Ensuring the company complies with all relevant laws, rules, and regulations.

Identifying and mitigating legal risks through policies and audits.

Developing and implementing risk management strategies.

Contract Management

Draft, review, negotiate, and finalize a wide range of agreements including:

Vendor agreements

Service agreements

NDAs, MoUs, partnership contracts

Ensure contracts align with legal requirements and business interests.

Develop and standardize contract templates and processes.

Corporate Transactions:

Assisting with the legal aspects of mergers, acquisitions, and divestitures.

Structuring and advising on funding and investment deals.

Handling the legal processes for business incorporation, restructuring, or dissolution.

Business Collaboration:

Work closely with business leaders to understand their objectives and provide legal guidance that aligns with business goals.

Facilitate effective communication between the legal function and other departments to ensure integrated risk management.

Day-to-Day Legal Operations:

Managing a company’s legal and financial functions.

Coordinating with internal teams for legal inputs and approvals.

Encourage continuous professional development within the legal team.

Being an entrepreneur at heart so as to effectively collaborate with the business

Strong knowledge of corporate and commercial laws.

Excellent contract drafting and negotiation skills.

Experience in similar role in managing legal and regulatory risk
