Senior Legal Counsel

Mesoblast is a global biopharmaceutical company developing cell-based medicines for some of the world's most serious conditions. Our U.S. team is growing and we are looking for a Senior Legal Counsel to join us reporting directly into our US Legal Head

This is a senior individual contributor role for an experienced lawyer who thrives in a complex, fast-moving life sciences environment. You will be a trusted legal partner to our US and global business- leading commercial transactions, advising on regulatory compliance, and helping the company operate with integrity and confidence.

You won't just be reviewing contracts. You'll be shaping how Mesoblast manages legal and compliance risk at the highest levels - partnering with R&D, Clinical Operations, Regulatory Affairs, Finance and Commercial teams to translate complex legal and regulatory requirements into practical, business-enabling guidance.

Responsibilities include but not limited to:

• Provide level guidance on complex commercial and regulatory compliance matters
• Advise on legal risk, ethics, and compliance considerations, translating regulatory and policy requirements into practical business guidance
• Support the development, implementation and ongoing enhancement of corporate policies, procedures and compliance frameworks
• Draft, prepare, review and issue commercial agreements, including:
• Manufacturing, Supply and Distribution agreements
• Licensing, collaboration and strategic partnership agreements
• Ensure commercial arrangements align with internal compliance requirements, risk tolerance and corporate policies.
• Lead complex negotiations with CROs, CDMOs, HCPs, vendors, research partners and strategic counterparties.
• Advise on U.S. regulatory obligations applicable to biotechnology/life sciences entities including
• FDA-related requirements
• Contribute and manage legal process improvements, templates, compliance controls and risk frameworks.
• Partner closely with R&D, Clinical Operations, Regulatory Affairs, Compliance, Finance, HR and Commercial teams to ensure risk and compliance management.
• Provide legal support for corporate compliance programs, including: Anti-bribery and anti-corruption compliance (e.g., FCPA, AKS) Data privacy, cybersecurity and information governance obligations
• Contribute to internal compliance reviews, investigations and remediation initiatives.

What We're Looking For

• JD from an accredited US law school, with active bar membership (New York preferred)
• 8+ years of post-qualification experience in-house in life sciences, biotech or pharma - and/or at a law firm advising regulated industry clients
• Exposure to FDA-adjacent regulatory matters, clinical trials and healthcare compliance strongly preferred
• Demonstrated understanding and experience of U.S. regulatory and compliance frameworks affecting life sciences organizations.
• Ability to independently manage high-risk, high-complexity legal and compliance matters.
• Proven stakeholder engagement, communication and judgment.
• Experience supporting clinical-stage publicly listed biotech companies strongly preferred.
