Job Description: Legal & Contract Operations Associate Are you detail-oriented, commercially aware, and confident working across legal, compliance, HR, procurement and administrative operations? Do you enjoy creating structure, protecting the business from risk, and keeping documentation accurate, complete and compliant?

Uptitude is looking for a Legal & Contract Operations Associate to join our FLAP department — Finance, Legal, Administration and Procurement — in our Gurugram office.

This is an execution-focused role supporting legal, HR compliance and administrative governance activities. You will work closely with Finance, Procurement, HR and Business teams to help ensure our contracts, employment documentation, vendor records and compliance processes are well managed, legally sound and audit ready.

As our Legal & Contract Operations Associate , you will play an important role in protecting the company legally, supporting employment and corporate compliance, and ensuring documentation across vendors, employees and business operations is complete, accurate and well controlled.

You will be comfortable working across departments, supporting legal reviews, maintaining trackers and repositories, coordinating with external advisors, and helping the business make decisions with the right level of legal and compliance oversight.

Requirements Requirements: Legal & Contract Operations Associate

  • LLB qualification is mandatory.
  • 2–5 years of relevant experience, preferably within an IT, technology, consultancy or professional services environment.
  • Strong knowledge of contract law and Indian labour regulations.
  • Experience supporting legal, HR compliance, procurement or administrative governance processes.
  • Strong drafting, documentation and review skills.
  • Ability to draft, review and manage NDAs, MSAs, SOWs, SaaS agreements, vendor contracts and procurement agreements.
  • Experience maintaining contract repositories, trackers, statutory records or compliance documentation.
  • Ability to work cross-functionally with Finance, HR, Procurement, Sales and Business teams.
  • Good understanding of corporate and regulatory compliance, including Companies Act requirements, IT regulations and internal governance standards.
  • Ability to coordinate with external legal counsel, Company Secretary and internal stakeholders.
  • High attention to detail, integrity and confidentiality.
  • Role based in Gurugram, Haryana, India. Head office in London, UK.

Key Responsibilities Legal & Contract Management

  • Draft, review and manage NDAs, MSAs, SOWs, SaaS agreements, vendor contracts and procurement agreements.
  • Support commercial contract negotiations with Sales and Procurement.
  • Maintain the contract repository and renewal tracker.
  • Ensure legal vetting is completed before vendor onboarding.
  • Support trademark and brand protection activities, including documentation and coordination where required.

Corporate & Regulatory Compliance

  • Support compliance with Companies Act requirements, IT regulations and internal governance standards.
  • Coordinate with external legal counsel and the Company Secretary.
  • Maintain statutory registers, corporate records and compliance documentation.
  • Track notices, legal correspondence and dispute-related matters.

HR & Labour Law Compliance

  • Review and create offer letters, appointment letters, employment agreements and exit documentation.
  • Support compliance with Indian labour law requirements.
  • Draft and update HR policies, including POSH, Code of Conduct, Leave, Remote Work and related employment policies.
  • Prepare warning letters, show-cause notices and disciplinary documentation where required.
  • Support POSH compliance, documentation and record keeping.

Procurement & Administration Support — Legal Oversight

  • Review procurement contracts and vendor SLAs.
  • Assist with due diligence for new vendors.
  • Support contractual risk mitigation in procurement transactions.
  • Support internal compliance audits and evidence preparation.

You will be comfortable working with Finance on contracts, HR on employment compliance, Procurement on vendor agreements, and Business teams on day-to-day legal and compliance questions. You should be practical, organised and confident handling documentation, trackers, deadlines and cross-functional follow-up.

This role would suit someone who enjoys bringing order to complex operational processes and helping the business stay compliant, protected and well governed.
