M&A Lawyer

RAYNE is expanding its consultant team and we're looking for strong, talented M&A lawyers based across the UAE to join us. We need experienced lawyers who are ready to work at the heart of complex transactions, embedded within some of the region's most dynamic organisations.

As a consultant at RAYNE, you will be embedded directly within client organisations, functioning as a genuine extension of their in-house legal teams. Secondments vary in length, sector, and legal discipline. Throughout every engagement, you will have the full backing of the RAYNE team behind you. Our model is founded on trust, flexibility, and lasting relationships, with our clients and our consultants alike.

What you'll be doing:

You will be seconded to our clients and will work on a broad range of matters, including:

• Advising on mergers, acquisitions, disposals, and corporate restructurings across a range of sectors
• Leading and supporting due diligence processes and transaction structuring
• Drafting and negotiating SPAs, shareholders' agreements, and other transaction documents
• Advising on cross-border deal considerations, regulatory approvals, and closing mechanics
• Working closely with client leadership, investment teams, and external advisors
• Supporting post-acquisition integration and corporate governance matters where required

What we're looking for:

• A qualified lawyer with 5+ years' PQE in M&A, corporate, or transactions
• Experience across private practice and in-house
• Comfortable advising on cross-border deals, due diligence, and transaction structuring
• Familiarity with ADGM or onshore UAE corporate frameworks is a strong advantage
• Strong commercial instincts and stakeholder management skills
• Fluency in English essential; Arabic highly advantageous
