JOB SUMMARY
Kutak Rock LLP seeks an experienced paralegal to join its Public Finance practice. This position works with lawyers and staff in public finance and commercial lending practices with primary responsibilities that include obtaining and organizing transaction documents, due diligence documentation, assisting with closing transactions, and organizing and monitoring any post-closing tasks. This role is ideal for the detail-oriented paralegal with experience in real estate or corporate transactional practices and enjoys working in a collaborative and collegial environment.
This full-time hybrid position may sit in one of the following office locations: Atlanta, GA; Richmond, VA; or Washington, D.C.
RESPONSIBILITIES* Prepare first drafts of basic documents, including transaction documents and official statements, attend drafting sessions, revise primary documents
- Perform due diligence to verify information and data contained in the official statement
- Coordinate the distribution of documents to participants
- Organize and analyze documents
- Prepare and file UCC statements
- Handle routine correspondence, maintain telephone contact with the clients and consult the supervising attorney for legal advice when necessary
- Review financial proformas and models and incorporate such information into transaction documents
- Coordinate and attend closings, which include, but are not limited to, prepare signature pages for execution, obtain executed signature pages and any other documents required for closing, compile and distribute closing documents, prepare letters and forms post-closing as required and prepare closing transcripts
- Organize and maintain electronic and paper filings with state and federal agencies
- Meet regularly with supervising attorneys
- Assist with other duties as assigned, including accounting responsibilities
QUALIFICATIONS: Skills and Abilities* Ability to organize and manage large quantities of information
- Strong project management and organizational skills
- Ability to work well under the pressures of deadlines and prioritize assignments
- Ability to thrive in a fast-paced environment
- Demonstrated knowledge in real estate transactions, commercial or public loan documentation, and financial documents
- Excellent spelling, grammar, formatting, and proofreading skills with keen attention to detail
- Excellent written and verbal communication skills
- Ability to handle documents and other information with confidentiality and discretion
- Excellent interpersonal and communication skills with an aptitude to interface with attorneys, clients, staff, and firm visitors
- Proficiency in Microsoft Office suite of products, especially Word, Excel and PowerPoint
- Experience with Adobe and Kofax PDF, and document comparison and formatting software such as Litera and Forte
- Ability to work both collaboratively as part of a team, independently or unsupervised
- Assist other departments, acting as back up support as needed
QUALIFICATIONS: Education and Experience* High school (or equivalent) required; preference given to those with a bachelor’s degree and/or successful completion of an accredited legal assistant or paralegal program
- 3+ years’ experience paralegal or legal assistant experience
- Preference given to those with related work experience in tax, real estate and lending transactions, or law firm/internal corporate law department
Position Information****Status: Non-ExemptSalary Range:$65,000-$95,000 base per year, commensurate with education and experience.Work Arrangement: Hybrid 4:1, with Manager approval . This position may sit in one of the following office locations: Atlanta, GA; Richmond, VA; or Washington, D.C.
