Role Summary

We are seeking an experienced and commercially minded legal professional to serve as the local legal subject matter expert and trusted advisor to both the Japan business and the Group legal function. This role acts as a bridge between Group legal and local execution, ensuring alignment with corporate governance standards while delivering hands‑on, practical and commercially-focused legal support to transaction teams and day‑to‑day business operations in Japan.

The successful candidate will support a broad range of transactions and project development activities, including acquisitions, divestments, permitting, procurement, financings, joint ventures across various project phases, from development and construction through to operations, while also advising on general corporate and business law matters and managing legal risk and regulatory compliance.

How You Will Make an Impact

• Providing internal legal support to transaction teams when pursuing new opportunities in Japan, including acquisitions, divestments, financings, forming joint ventures and managing interests in projects during development, construction and into operations.
• Advising on general business law issues and managing the legal issues of all areas of the Company, including but not limited to corporate matters, compliance, land, permits, disputes, procurement, safety, security, insurance and sustainability issues.
• Working and providing support to transaction / project teams on a wide range of contracts (including MoUs, heads of term, term sheets, share purchase agreements, shareholders’ / joint development agreements, credit support agreements, project development / bidding agreements, NDAs, engagement letters, service contracts, intragroup services/funding agreements, land-related agreements, a wide range of commercial contracts and exclusivity letters), to protect the Company’s interests and drive towards consistency of approach.
• Supporting transaction / project teams with understanding the legal aspects of acquisition due diligence and the development of projects in Japan (either solely by Company or alongside development partners).
• Helping to identify and manage compliance with all applicable laws and regulations relevant to Company’s operations in Japan and contribute to appropriate solutions, monitoring and alerts (including in respect of competition, merger control and foreign direct investment requirements).
• Developing and improving policies, procedures, precedents and guidance to assist the Group’s legal team and all other teams within Japan.
• Anticipate and manage the legal risks connected with or resulting from the business strategy, project execution / delivery and operations.
• Coordinate with the Group’s legal team on transaction / project document templates and updates.
• Coordinate with the General Counsel on incidents and breaches as well as compliance with policies (including Anti Bribery and Corruption).
• Coordinate and manage the procurement, engagement and instruction of external counsel.
• Coordinate with the Group’s General Counsel, senior management and other stakeholders to secure relevant internal approvals.

What Makes You a Great Fit

• Excellent written and verbal communication skills (in Japanese and English).
• Degree in law and ideally qualified to practice law in Japan or a comparable civil law jurisdiction (common law jurisdictions may also be considered).
• At least 3+ years of relevant experience in the energy, real estate or infrastructure or general commercial sector in Japan, ideally with a focus on renewable energy.
• Combination of analytical and strategic thinking skills that allow the assessment of complex policies and changing policy environment.
• Ability to articulate, influence and promote ideas to different internal and external stakeholders.
• Effective decision-making and delegation skills to prioritise and complete projects in line with investment strategy or project plans.
• Strong negotiation skills for interaction with government, private investors, prospective partners, lenders, off takers, service providers and contractors.
• Ability to deliver high-quality work under tight deadlines.
• Assertiveness, responsiveness, commercially focused and pragmatic (must be able to adapt quickly to the context and to complex and varied situations), with a strong sense of autonomy and initiative.
• Strong interpersonal skills in the context of a multicultural environment.

本ポジションは、グループ法務と日本国内での事業遂行との橋渡し役となり、コーポレートガバナンス基準との整合性を確保しながら、日本における案件推進チームおよび日常的な事業運営に対して、実践的かつ商業的視点を重視した法務サポートを提供します。

買収・売却、許認可取得、調達、資金調達、ジョイントベンチャーなど幅広い取引およびプロジェクト開発業務を支援していただきます。また、開発・建設段階から運営段階に至るまで、各プロジェクトフェーズに関与するとともに、会社法務および一般的な商取引法務に関する助言、法的リスク管理、法令遵守の推進を担っていただきます。

主な業務内容

取引および投資案件の法務支援

• 日本における新規事業機会を追求するトランザクションチームに対し、買収、売却、資金調達、ジョイントベンチャー設立および開発・建設・運営段階におけるプロジェクト権益の管理に関する社内法務支援を提供する。

• 会社法務、コンプライアンス、土地、許認可、紛争、調達、安全衛生、セキュリティ、保険、サステナビリティなど、会社のあらゆる事業領域に関する法的課題について助言を行う。

• 以下を含む広範な契約書について、案件・プロジェクトチームを支援し、会社利益の保護および法務対応の一貫性向上を図る。

• MoU（基本合意書）

• Heads of Terms（主要条件合意書）

• タームシート

• 株式譲渡契約（SPA）

• 株主間契約

• 共同開発契約

• 信用補完契約

• 買収案件のデューデリジェンスおよび日本国内プロジェクトの開発（単独開発または共同開発）に関する法的側面について、案件チームを支援する。

• 日本における事業運営に適用される法令・規制の遵守状況を把握・管理し、適切な対応策、モニタリング、およびアラート体制の構築に貢献する（競争法、企業結合規制、外国直接投資規制を含む）。

• グループ法務チームおよび日本国内の各チーム向けの方針、手続き、契約テンプレートおよびガイドラインの整備・改善を行う。

• 事業戦略、プロジェクトの実行・運営に関連する法的リスクを予見し、管理する。

• グループ法務チームと連携し、契約書テンプレートや案件文書の更新を行う。

• 法務責任者（General Counsel）と連携し、インシデントや規程違反への対応および各種ポリシー（贈収賄防止方針を含む）の遵守を推進する。

• 外部法律事務所の選定、契約、指示および管理を行う。

• 法務責任者、経営陣およびその他関係者と連携し、必要な社内承認の取得を調整する。

応募資格

必須条件

• 日本語および英語による優れた文書作成能力・コミュニケーション能力
• 法学の学位保有者
• 日本の弁護士資格を有する方が望ましい（同等の大陸法系法域の資格保有者も歓迎。コモンロー法域の資格保有者も検討可）
• 日本におけるエネルギー、不動産、インフラ、または一般商取引分野での関連実務経験3年以上
• 再生可能エネルギー分野での経験があれば尚可
• 複雑な政策や変化する制度環境を分析・評価できる分析力と戦略的思考力
• 社内外のステークホルダーに対して、自らの考えを明確に伝え、影響力を発揮できる能力
• 投資戦略やプロジェクト計画に沿って案件の優先順位付けを行い、意思決定・権限委譲を適切に実施できる能力
